1. Service Description

SmartlyBridge AI ("the Service") provides an AI-powered SMS receptionist platform for service businesses. Our platform automatically responds to inbound text messages, captures leads, schedules appointments, and manages customer interactions on behalf of your business using artificial intelligence.

By creating an account and using the Service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent that you are a legitimate business operating in compliance with applicable laws.

3. Account Registration

  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the security of your account credentials
  • You must promptly notify us of any unauthorized access
  • One account per business entity; multiple accounts require separate subscriptions

4. Payment Terms

Pricing

  • The Service is offered at $149 per month per business location
  • Pricing includes a dedicated phone number, unlimited AI conversations, lead capture, and dashboard access
  • Additional features or overages may be billed separately as outlined in your plan

Free Trial

  • New accounts receive a 14-day free trial with full platform access
  • No credit card is required to start your trial
  • At the end of the trial period, you must subscribe to continue using the Service
  • Trial accounts that do not convert will be deactivated after 30 days

Billing

  • Subscriptions are billed monthly in advance via Stripe
  • All payments are in USD
  • Failed payments will result in a grace period of 7 days before service suspension
  • We reserve the right to change pricing with 30 days written notice

5. Cancellation and Refunds

  • You may cancel your subscription at any time from your dashboard
  • Cancellation takes effect at the end of your current billing period
  • No refunds are provided for partial months of service
  • Upon cancellation, your dedicated phone number will be released after 30 days
  • You may export your data (leads, conversations, contacts) within 30 days of cancellation

6. SMS Terms and TCPA Compliance

By using the Service, you agree to comply with all applicable telecommunications laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.

Your Responsibilities

  • You must have proper consent from individuals before they receive SMS messages from your AI receptionist
  • You must not use the Service for unsolicited marketing messages or spam
  • You must honor all opt-out requests (STOP messages) which our system processes automatically
  • You are responsible for maintaining records of consent as required by law
  • You must clearly disclose that responses may be generated by AI when required by law

Our Responsibilities

  • We automatically process STOP/HELP keywords as required
  • We maintain carrier-compliant messaging practices
  • We provide opt-out mechanisms in compliance with regulations

7. Acceptable Use

You agree NOT to use the Service to:

  • Send spam, unsolicited messages, or bulk marketing
  • Engage in illegal activities or promote illegal services
  • Harass, threaten, or deceive any person
  • Impersonate another business or individual
  • Transmit malware, viruses, or harmful content
  • Circumvent rate limits or abuse system resources
  • Resell or redistribute the Service without authorization
  • Use the Service for regulated industries (healthcare, finance) without proper compliance measures

Violation of these terms may result in immediate account suspension or termination without refund.

8. AI-Generated Content

  • Responses generated by the AI are based on your business configuration and system prompts
  • While we strive for accuracy, AI responses may occasionally contain errors or inappropriate content
  • You are ultimately responsible for the communications sent on behalf of your business
  • We provide tools to review, flag, and correct AI behavior through your dashboard
  • We do not guarantee specific outcomes (bookings, conversions) from AI interactions

9. Intellectual Property

  • The Service, including all software, designs, and AI models, is owned by SmartlyBridge AI
  • You retain ownership of your business data, customer information, and custom configurations
  • You grant us a limited license to process your data solely for providing the Service
  • We may use anonymized, aggregated data for service improvement

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTLYBRIDGE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Service Availability

  • We target 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be communicated 48 hours in advance
  • We are not liable for service interruptions caused by third-party providers
  • Force majeure events release us from performance obligations

12. Termination

We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, or fail to pay. Upon termination:

  • Access to the Service will be immediately revoked
  • Your phone number will be released
  • Data will be retained for 30 days for export, then deleted
  • Outstanding balances remain due

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes constitutes acceptance.
